These Terms of Service govern your access to and use of the EasyCheck website, platform, and related services. By accessing the website, submitting a demo or pricing request, creating an account, or using the Services in any manner, you agree to be bound by these Terms.

These Terms of Service ("Terms") govern your access to and use of the EasyCheck website, platform, and related services (collectively, the "Services"), provided by EasyCheck, LLC ("EasyCheck," "we," "us," or "our").

By accessing the website, submitting a demo or pricing request, creating an account, executing an order form or subscription agreement, or using the Services in any manner, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

Important: If you do not agree to these Terms, do not use the Services.

1. Scope of These Terms

These Terms apply to:

  • Visitors to the EasyCheck website
  • Individuals submitting demo or pricing requests
  • Customers that subscribe to the Services
  • Authorized users accessing the Services under a customer account

If you have executed a separate written agreement with EasyCheck (such as an order form, subscription agreement, or master services agreement), that agreement will control in the event of any conflict.

2. Description of the Services

EasyCheck provides a cloud-based field execution, asset tracking, and compliance verification platform designed for business use. The Services may include web applications, mobile applications, reporting tools, integrations, and related support services.

EasyCheck may update, modify, or enhance the Services from time to time. We do not guarantee that any specific feature or functionality will remain available indefinitely.

Product support response times are governed by the applicable commercial agreement. Privacy and data rights requests are handled in accordance with the timelines specified in our Privacy Policy.

3. Accounts and Authorized Users

3.1 Account Registration

To access the Services, customers may be required to create an account. Account information must be accurate and kept up to date.

3.2 Authorized Users

Customers may permit employees, contractors, or other authorized individuals ("Authorized Users") to access the Services. Customers are responsible for:

  • All activity conducted under their account
  • Managing user permissions and access
  • Ensuring Authorized Users comply with these Terms

Actions taken by Authorized Users are deemed actions of the customer.

3.3 Account Security

Customers are responsible for safeguarding login credentials. EasyCheck is not responsible for unauthorized access resulting from customer failure to secure credentials.

4. Subscription Term and Billing

4.1 Subscription Term

Unless otherwise stated in a written agreement, subscriptions to the Services are sold on an annual basis. Subscriptions are typically governed by an order form, quote, or subscription agreement that specifies pricing, term length, and usage limits.

Subscriptions expire at the end of the agreed term unless renewed in writing.

4.2 Fees

Fees are based on the applicable order form, quote, or subscription agreement. Fees are typically invoiced annually in advance unless otherwise agreed in writing.

4.3 Payment Obligations

All fees are due and payable according to the agreed payment terms. Except where required by law or expressly stated in writing, fees are non-refundable.

4.4 Non-Payment

Failure to pay fees when due may result in suspension or termination of access to the Services.

5. Trials and Pilot Access

EasyCheck may, at its discretion, offer trial or pilot access to the Services. Trial access is provided "as is," without warranties or guarantees, and may be modified or terminated at any time.

6. Customer Data and Content

6.1 Ownership

Customers retain ownership of all data, content, and information submitted to the Services ("Customer Data").

6.2 Use of Customer Data

EasyCheck processes Customer Data solely to provide and improve the Services, provide support, and fulfill contractual obligations. EasyCheck acts as a data processor on behalf of the customer with respect to Customer Data, in accordance with applicable data protection laws and our Privacy Policy.

6.3 Customer Responsibilities

Customers represent and warrant that they have all necessary rights, permissions, and authority to submit Customer Data. Customers are responsible for the accuracy, legality, and use of Customer Data.

6.4 Analytics and Aggregated Data

EasyCheck may generate aggregated or anonymized data derived from use of the Services. Such data does not identify individual customers and may be used for product improvement and analytics.

7. Acceptable Use

Customers and Authorized Users may not:

  • Use the Services for unlawful purposes
  • Reverse engineer or attempt to extract source code
  • Interfere with system integrity or security
  • Circumvent usage limits or access controls
  • Upload malicious code or content

EasyCheck may suspend or terminate access for violations of this section.

8. Confidentiality

Each party may receive confidential information from the other. Confidential information must be protected using reasonable care and may be used only to fulfill obligations under these Terms.

Confidentiality obligations do not apply to information that is publicly available or independently developed.

EasyCheck's data security obligations are described in the Privacy Policy and form part of these Terms.

9. Intellectual Property

EasyCheck retains all rights, title, and interest in the Services, including all related intellectual property. No rights are granted except as expressly stated in these Terms.

Customers may not copy, modify, or create derivative works of the Services.

10. Third-Party Services

The Services may integrate with or reference third-party services. EasyCheck is not responsible for third-party products, services, or content.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." EASYCHECK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

EASYCHECK DOES NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • EASYCHECK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • EASYCHECK'S TOTAL LIABILITY WILL NOT EXCEED THE FEES PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

13. Indemnification

Customers agree to indemnify and hold harmless EasyCheck from claims arising out of:

  • Customer Data
  • Misuse of the Services
  • Violation of these Terms by the customer or Authorized Users

14. Termination

Either party may terminate for material breach if the breach is not cured within a reasonable period.

Upon termination:

  • Access to the Services will cease
  • Outstanding payment obligations remain due
  • Certain sections survive termination, including liability, indemnification, and governing law

Customer Data will be retained for a commercially reasonable period following termination to allow data export, after which it may be deleted in accordance with our Privacy Policy.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.

Any disputes will be resolved exclusively in the state or federal courts located in that jurisdiction.

16. Changes to These Terms

EasyCheck may update these Terms from time to time. Material changes will be communicated through the website or other reasonable means. Continued use of the Services constitutes acceptance of updated Terms.
